Cowen advises the shareholders of Wundex Group on the sale of shares to capiton AG

Cowen successfully advised BE Investment-Partners GmbH (“BE Beteiligungen”) and the Founders of the leading full-service provider for wound care in Germany, Wundex Group (“Wundex”) on the sale of a majority stake to capiton AG (“capiton”).

Wundex is a full-service provider for integrated wound care. For more than 25 years, the companies of the group have specialized in the in-house development of high-quality relief systems in the field of anti-decubitus prophylaxis as well as the distribution of modern wound care products. The focus is on patients with chronic wounds. Thanks to comprehensive consulting services provided by specially trained wound managers and a modern logistics infrastructure, wound patients receive optimal care.

The two Founders and Managing Directors of the group will remain in their positions in the company and as shareholders. This creates the ideal foundation for continuing the company’s growth path as an innovative provider of integrated care for patients with chronic wounds.

Through the partnership with the investment company capiton, which specializes in medium-sized companies with strong development potential, this growth path will be continued and the successful business strategy of establishing a nationwide care concept for wound treatment in Germany will be consistently pursued.

Client

The group of companies focuses on the development, manufacture and distribution of innovative products for decubitus prophylaxis and therapy. This includes air-insulated positioning systems and cushions, high-quality therapy and nursing bed mattresses, and advanced wound care products. As an approved service provider, the company focuses on the optimal care of chronic wounds in patients receiving home care. Wounds are also treated on an outpatient basis in specialized facilities. In addition, the group also serves nursing homes and services as an optimal procurement and logistics platform for consumables.

Buyer

capiton is an independent, owner-managed private equity company and invests in larger medium-sized companies in Germany, Austria and Switzerland within the framework of management buyouts and expansion financing. The roots of capiton go back to 1979. Today, capiton’s core team consists of around 30 employees and is led by ten partners who manage a total fund volume of over € 1.3 billion. capiton’s investment focus is on high-yield companies with a sector focus on pharmaceuticals, medical technology, industrial technology and responsible consumption.

BE Beteiligungen, based in Cologne, Germany, focuses on small and medium-sized enterprises and has already invested in numerous companies in Germany. The industry spectrum is diversified and focuses on market segments with sustainable need and demand. BE’s goal is to work with management and other shareholders to increase the growth potential of its portfolio companies. The company currently manages a fund volume of € 60 million, which was provided by two renowned financial institutions.
